Welcome to Deployte. By accessing our website (deployte.com) or engaging our services, you agree to be bound by these Terms of Service. Please read them carefully before starting any project with us.
1. Services & Scope of Work
Deployte provides custom software architecture, web development, SEO optimization, cloud security, and maintenance services. The specific details, timelines, and deliverables for your project will be outlined in a separate, mutually agreed-upon Statement of Work (SOW) or formal proposal.
Any requests outside the scope of the original SOW will be subject to additional billing at our standard hourly rate or a separately negotiated flat fee.
2. Client Responsibilities
To ensure successful and timely project delivery, you agree to:
- Provide all necessary text, images, and brand assets required for the project in a timely manner.
- Designate a primary point of contact who has the authority to grant approvals and sign off on milestones.
- Review deliverables and provide consolidated feedback within the timeframes specified in your proposal.
Delays in providing content or feedback may result in corresponding delays to the project timeline.
3. Payment Terms
Unless otherwise specified in your formal proposal, standard web development projects require a purchase or ownership of a domain name and payment for a hosting service before any design or development work begins. The payment is due upon project completion, prior to the website being migrated to your live domain or handed over.
- Invoices for monthly retainers (e.g., SEO, Maintenance & Support) are issued on the 1st of each month and are payable within 7 days.
- Deployte reserves the right to suspend services, including hosting and maintenance, if payments are more than 14 days overdue.
4. Intellectual Property & Ownership
We utilize open-source frameworks to build your software. Upon receipt of full and final payment, you will own the bespoke frontend code, custom logic, and content we created specifically for your project.
Deployte retains the right to display graphics and other web design elements as examples of our work in our portfolio and marketing materials, unless a Non-Disclosure Agreement (NDA) states otherwise.
5. Third-Party APIs and Cloud Services
Our software often relies on third-party integrations (e.g., payment gateways, external APIs) and cloud hosting providers. Deployte is not responsible for any downtime, data loss, or service interruptions caused directly by these third-party providers or by changes they make to their API rules.
6. Warranties and Limitation of Liability
We build robust, secure, and performant digital assets. However, software and the internet are inherently unpredictable.
- SEO Disclaimer: While we strictly adhere to industry-standard SEO practices, search engine algorithms change constantly. Deployte does not guarantee specific search engine rankings or traffic volumes.
- Liability Limit: In no event shall Deployte be liable for any indirect, consequential, or special damages, including lost profits or business interruptions, arising out of the use of our services. Our total liability shall not exceed the total amount paid by you for the specific project in question.
7. Termination
Either party may terminate a project with written notice. In the event of cancellation by the client, the initial deposit will be retained by Deployte to cover administrative and preliminary work costs. If the project is past the midway point, the client will be billed for all work completed up to the date of cancellation.
8. Governing Law
These Terms of Service and any separate agreements whereby we provide you services shall be governed by and construed in accordance with the laws of the Republic of Kenya.
